Terms of Service

1. Acceptance of Terms

By accessing or using Gemsweb Digital's services, you agree to be bound by these terms of service. If you do not agree to these terms, please do not use our services.

2. Services

Gemsweb Digital provides web development, AI integration, e-commerce solutions, and related digital services. The specific scope of services will be defined in individual project agreements.

3. Client Responsibilities

Clients are responsible for:

• Providing accurate and complete project requirements
• Responding to communications in a timely manner
• Providing necessary content and assets
• Reviewing and approving deliverables within agreed timeframes
• Making payments according to agreed schedules

4. Intellectual Property

Upon full payment, clients receive ownership of custom work created specifically for their project. Gemsweb Digital retains rights to reusable components, frameworks, and tools developed independently or used across multiple projects.

5. Payment Terms

Payment terms are specified in individual project agreements. Typically, projects require an upfront deposit with the balance due upon completion. Late payments may incur interest charges and result in project delays.

6. Limitation of Liability

Gemsweb Digital shall not be liable for indirect, incidental, special, or consequential damages. Our total liability shall not exceed the total fees paid by the client for the specific services giving rise to the claim.

7. Termination

Either party may terminate a project with written notice. Clients will be responsible for payment for work completed up to the termination date. Deposits are non-refundable for work already commenced.

8. Governing Law

These terms are governed by the laws of the Republic of Namibia. Any disputes shall be resolved through arbitration in Windhoek, Namibia.
